space ninja, here's a little excerpt about modems for u, lazy bone[cause u could find this in tha site]:
modem is a so called "character device" - u work with it via character commands (or "strings").
before the dialing command is sent to modem, there is another command sent - so called "init string" - it says to modem how to work - what protocol, speed, cpu usage , etc.
this is what u need to change.
in every modem there's different format of this string, so go to the site, find the proper string,
or call tech support of your ISP and ask them to lower the cpu usage of your modem (they probabaly won't do this)
if u still have too many questions - go to the site and read the infos.

Hey Bilbo this all Init strings are well known to me i had a very close relationship with modems for a while but i can't still figure out the solution for this "weird" problemm

Yo , Space Ninja , interesting problem you talkin' about .
try to install any other modem/cdrom with uninstalling the old device first , if you don't have any old computer parts and you use win2000 -
best way to check yo hardware is to install "phresh" win2000 on it - if the installation go well ,
that means that yo don't have any hardware problems.
i think different , i think apple , i forgot all my computer problems

Tried 3 different CDroms one DVD rom, 2 different OS's {2000 and XP} and one modem. I guess the modem makes the problemm...

i think u need to find out the correct initstring. that's it.
usually both winamp and Modems devour the CPU.
playing mp3's from a CD is a heavy task: transfer uses the IDE bus.
when u browse the web u also use the IDE very much on small files transfers, so in general the OS must be very stable on task switching.
when i was doing all this with linux i had no trouble with sound (unless CD is corrupted or with many errors)
so .... move to linux ))

I manage to lower the frequency of the jumps by redusing the connection speed, well i think at 9600K i don't experience anything annoying with th audio.
